Faversham House Ltd Membership Terms and Conditions

1.1 These are the terms for the Membership service provided by Faversham House Ltd. (“we”/”us”) to which you have subscribed (the “Service”).
1.2 By subscribing to the Service, you confirm your agreement to these terms, which constitute all applicable terms of your Membership, and that you are not relying on any previous representation by us that is not included in these terms.
1.3 If you have subscribed to a corporate Membership on behalf of a company or other entity, it is the Member and you have purchased a number of logins for individual Users who work for it. You warrant your authority to commit the corporate Member to these terms.
1.4 If you have subscribed to an individual Membership, you personally are the Member and User.
2.1 There are different levels of Membership package for each of our Services, which may include a digital magazine and/or newsletter, access to web pages, exclusive reports, analysis or brochures, priority booking for and VIP access to events and various other features and benefits. All information and material made available through the Service, including (but not limited to) text, pictures, sounds, graphics, videos, emails, links and posts, is called “Content”.
2.2 Online access to Content is limited to registered Users at a Member with a current subscription. Each User may be logged in on up to 3 devices at any time. YOU MUST NOT SHARE A USER’S LOGIN DETAILS WITH ANYONE ELSE. SHARING USER LOGINS IS A SERIOUS BREACH OF THESE TERMS, WHICH CAN RESULT IN OUR TERMINATING YOUR MEMBERSHIP AND/OR THE USER ACCOUNTS CONCERNED UNDER 6.2 below.
2.3 We aim to make online Content available at all times, subject to occasional outages for maintenance or technical reasons.
2.4 A Member can purchase additional User logins, change its Users and/or its contact details, upgrade its package and/or subscribe for additional Membership Services by contacting us in writing at email@example.com. You cannot add a new User account for a User whose account has previously been terminated by us for breach unless we agree to do so in writing.
2.5 Email magazines or newsletters will be delivered to the Users’ email addresses given when placing the order. These can be updated by contacting us in writing at firstname.lastname@example.org.
3. Payment and Term
3.1 Memberships are paid in advance for an agreed subscription period. They do not automatically renew and we will notify you before renewal is due.
3.2 Some features, such as priority booking or access to events, may incur additional costs (for example to attend the event for more than any number of places that may be included in the Membership package).
3.3 Membership and other prices are exclusive of any VAT which may be chargeable on them.
4. Intellectual Property Licence
4.1 The intellectual property rights in all Content are owned by us and/or our licensors.
4.2 Users may copy, download, print or save small portions of Content for their personal use only. Any commercial use of Content, including (but not limited to) scraping, framing or using it to train AIs, requires our prior written consent.
4.3 We may suspend Users’ access to the Service whilst we investigate a suspected infringement of intellectual property rights. We reserve our rights to seek an injunction or claim damages for any infringement.
5. Data Protection
6.1 You may not cancel your Membership until the end of the subscription period.
6.2 We may terminate your Membership and/or any User account without a refund for the remaining subscription period if you are in serious breach of any of these terms. Failure to pay for a Membership package, sharing User logins with colleagues or third parties or infringement of our intellectual property rights are examples of serious breaches.
7.1 We can update these terms and/or the features and benefits of each level of the Service at any time by notifying you in writing and/or updating the version on our website.
7.2 Major changes to these terms or changes to the prices of Membership packages only take effect on your next renewal.
8. Applicable Law
8.1 These terms are subject to English law and the courts of England have jurisdiction over any dispute.
8.2 If these terms have been translated into another language, the English version prevails if there is any inconsistency.
